Mrs. Ghazala Waheed wo Abdul Waheed, Adult, Ro House No.***-*, DHA, Lahore Cantt, (hereinafter to as the LESSOR of the ONE PART).
And
Mr.* ***,Ro China, refereed to as the LESSEE of the OTHER PART.(Expression “LESSOR”
and “LESSEE” wherever the context so permit shall always mean and include their reective heirs, successors legal representative and assignees).
WHEREAS the LESSOR is the lawful owner and in lawful possession of House No,***-*,DHA,
Lahore Cantt, consisting of 4 Bedrooms with bath, DD,TV; Lounge, Kitchen, Store, Servant, Quarter together with fixtures and fitting (hereinafter collectively called the DEMISED PREMISES).
AND WHEREAS the LESSOR has agreed the lease and the LESSEE has agreed to take on lease the DEMISED PREMISES on the terms and condition as given below:-
1.This agreement in only valid if LESSEE is renewed and extended for the lease period.
2. The LESSOR lets LESSEE takes the DEMISSED PREMISES for a period of 2 months

七、其他費(fèi)用:

乙方應(yīng)承擔(dān)租賃期內(nèi)實(shí)際使用而產(chǎn)生的水、電、液化氣費(fèi)、電話費(fèi)并按單自行如期交納所屬管理公司或有關(guān)機(jī)構(gòu)。

八、甲方的責(zé)任:

8. 甲方須按時(shí)將出租房屋及其家私家具用品與其設(shè)施以良好狀態(tài)交付乙方使用。
party a shall deliver on schedule to party bvacant possession of the leased property including the furniture,furnishing and appliances and the related facilities for party b’s use(furniture,furnishing and appliances to be detailed in appendisl.)
8.2 租賃期內(nèi)甲方不得收回出租房屋(除非本合同另有規(guī)定),甲方保證乙方可不受干擾的享用該物業(yè)。

8.3 在乙方遵守本合同的條款及支付租金的前提下,乙方有權(quán)于租賃期內(nèi)拒絕甲方或其他人騷擾而安靜享用出租房屋。
proviede that party b pays the rent and performs and observes party b’s terms and conditions in accordavce with this agreement, party b shall be entitled to hold and enjoy the leased property throughout the term of this tenancy without any interruption by party a or any other person.
8.4 租賃期內(nèi)出租房屋的結(jié)構(gòu),進(jìn)出物業(yè)的排水、上下管道、電路等處于良好使用狀態(tài)。

九、乙方的責(zé)任:

9. 乙方應(yīng)按合同的規(guī)定,按時(shí)支付租金,保證金及其他各項(xiàng)應(yīng)付費(fèi)用。
party b shall promptly pay all rent ,security deposit and other charges payable by it in accordance with the terms of this agreement.
9.2 乙方應(yīng)愛護(hù)使用出租房屋,如因乙方的過失或過錯(cuò)致使房屋設(shè)施及屋內(nèi)用具和飾品受到損壞(正常損耗除外),乙方應(yīng)負(fù)賠償責(zé)任。

9.3 乙方應(yīng)按本合同的約定合法使用出租房屋,不得擅自改變使用性質(zhì),不應(yīng)存放中華人民共和國法律下所禁止的危險(xiǎn)物品,如因此發(fā)生損害,乙方應(yīng)承擔(dān)全部責(zé)任。

十、違約處理:

10.2 乙方有下列行為之一的,甲方有權(quán)終止本合同,收回出租房屋,并且保證金不予返還;

a.未得甲方書面書面同意,將出租房屋擅自轉(zhuǎn)租;
sublets the leased property without party a’s written consent;

alters the structure of the leased property or uses the leased property other than for the purpose started herein without party a’s consent;
c.無故拖欠租金超過三天(除雙方就本合同存在爭議除外)。
fails to pay rent without any reason for more than thirty (30)days after the due date except where there is a diute in reect of this agreement.
十一、適用法律:
applicable law:

13.裝運(yùn)條款:
□ FOB
賣方應(yīng)在合同規(guī)定的裝運(yùn)日期前30天,以電報(bào)/電傳/傳真通知買方合同號(hào)、品名、數(shù)量、金額、包裝件、毛重、尺碼及裝運(yùn)港可裝日期,以便買方安排租船/訂艙。裝運(yùn)船只按期到達(dá)裝運(yùn)港后,如賣方不能按時(shí)裝船,發(fā)生的空船費(fèi)或滯期費(fèi)由賣方負(fù)擔(dān)。在貨物超過船舷并脫離吊鉤以前一切費(fèi)用和風(fēng)險(xiǎn)由賣方負(fù)擔(dān)。

15.質(zhì)量保證:
Quality guarantee :
貨物品質(zhì)規(guī)格必須符合本合同及質(zhì)量保證書之規(guī)定,品質(zhì)保證期為貨到目的.港_____個(gè)月內(nèi),在保證期限內(nèi),因制造廠商在設(shè)計(jì)制造過程中的缺陷造成的貨物損害應(yīng)由賣方負(fù)責(zé)賠償。
The sellers shall guarantee that the commodity must be in conformity with the quality and specifications specified in this contract and Letter of Quality Guarantee .The guarantee period shall be months after the arrival of the goods at the port of destination , and during the period the sellers shall be responsible for the damage due to the defects in designing and manufacturing of the manufacturer.
16.商品檢驗(yàn):賣方須在裝運(yùn)前_____日委托 檢驗(yàn)機(jī)構(gòu)對(duì)合同之貨物進(jìn)行檢驗(yàn)并出具檢驗(yàn)證書,貨到目的港后,由買方委托____檢驗(yàn)機(jī)構(gòu)進(jìn)行復(fù)檢。
Goods inspection : The sellers shall have the goods inspected by Inspection Authority days before the shipment and issued the Inspection Certificate . The buyers shall have the goods reinspected by Inspection Authority after the goods arrival at the destination.
17.索賠
Claims:
如經(jīng)中國_____檢驗(yàn)機(jī)構(gòu)復(fù)檢,發(fā)現(xiàn)貨物有損壞、殘缺或品名、規(guī)格、數(shù)量及質(zhì)量與本合同及質(zhì)量保證書之規(guī)定不符,買方可于貨到目的港后 天內(nèi)憑上述檢驗(yàn)機(jī)構(gòu)出具的證明書向賣方要求索賠。如上述規(guī)定之索賠期與質(zhì)量保證期不一致,在質(zhì)量保證期限內(nèi)買方仍可向賣方就質(zhì)量保證條款之內(nèi)容向賣方提出索賠。
The buyers shall lodge claims against the sellers based on the Inspection Certificate issued by China Inspection Authority Days after the arrival of the goods at the destination , if the goods are found to be damaged , missing or the specifications , quantity, and quality not in conformity with those specified in this contract and Letter of Quality Guarantee . In case the claim period above specified is not in conformity with the quality guarantee period, during the quality guarantee period, the buyers have rights to lodge claims against the sellers concerning the quality guarantee.
18.延期交貨違約金
Late delivery and penalty
除雙方認(rèn)可的不可抗力因素外,賣方遲于合同規(guī)定的期限交貨,如買方同意遲延交貨,賣方應(yīng)同意對(duì)信用證有關(guān)條款進(jìn)行個(gè)性和同意銀行在議付貨款時(shí)扣除本條規(guī)定的違約金。違約金總值不超過貨物總價(jià)值的5%,差率按7天0.5%計(jì)算,不滿7天仍按7天計(jì)算。在未采用信用證支付的情況下,賣方應(yīng)將前述方法計(jì)算的違約金即付買方。
If the sellers fail to make delivery on time as stipulated in the contract , with exception of Force Majeure, the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the L/C and pay a penalty which shall be deducted by the paying bank from the payment under negotiation . The penalty , however , shall not exceed 5% of the total value of the goods . The rate of penalty is charged at 0.5%for every seven days , if less that seven days. In case , the payment is not made through L/C , the sellers shall pay the penalty counted as above to the buyers as soon as possible.
19.人力不可抗拒:如因人力不可抗拒的原因造成本合同全部或部分不能履約,賣方概不負(fù)責(zé),但賣方應(yīng)將上述發(fā)生的情況及
時(shí)通知買方。
Force Majeure : The sellers shall not hold any responsibility for partial or total non-performance of this contract due to Force Majeure . But the sellers shall advise the buyers on times of such occurrence.
20.爭議之解決方式:
Disputes settlement :
□任何因本合同而發(fā)生或與本合同有關(guān)的爭議,應(yīng)提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì),按該會(huì)的仲裁規(guī)則進(jìn)行仲裁。仲裁地點(diǎn)在中國深圳。仲裁裁決是終局的,對(duì)雙方均有約束力。
All disputes arising out of the contract or in connection with the contract , shall be submitted to the China International Economic and Trade Arbitration Commission for arbitration in accordance with its Rules of Arbitration in ShenZhen China . The arbitral award is final and binding upon both parties.

21.法律適用
Law application :
本合同之簽訂地、或發(fā)生爭議時(shí)貨物所在地在中華人民共和國境內(nèi)或被訴人為中國法人的,適用中華人民共和國法律,除此規(guī)定外,適用《聯(lián)合國國際貨物銷售公約》。
It will be governed by the law of the People’s Republic of China under the circumstances that the contract is singed or the goods while the disputes arising are in the People’s Republic of China or the deffendant is Chinese legal person , otherwise it is governed by United Nations Convention on Contract for the International Sale of Goods .
22.本合同使用的FOB、CFR、CIF、DDU 術(shù)語系根據(jù)國際商會(huì)《Incoterms 1990》
23.文字:本合同中、英兩種文字具有同等法律效力,在文字解釋上,若有異議,以中文解釋為準(zhǔn)。
Versions : This contract is made out in both Chinese and English of which version is equally effective .Conflicts between these two language arising therefrom . if any , shall be subject to Chinese version .
24.附加條款(本合同上述條款與本附加條款有抵觸時(shí),以本附加條款為準(zhǔn)):

1. 茲經(jīng)買賣雙方同意按照以下條款由買方購進(jìn),賣方售出以下商品: This contract is made by and between the Buyers and the Sellers, whereby the Buyers agree to buy and the Sellers agree to sell the goods referenced hereunder subject to the terms and conditions as stipulated hereinafter:
2. 索賠:在貨到目地口岸45天內(nèi)如發(fā)現(xiàn)貨物品質(zhì)、規(guī)格和數(shù)量與合同不符,除屬保險(xiǎn)公司或船方責(zé)任外,買方有權(quán)憑中國商檢出具的檢驗(yàn)證書或有關(guān)文件向賣方索賠。
Claims: within 45 days after the arrival of the goods at the destination, should the quality, specifications or quantity be found not in conformity with the stipulations of the contract except those claims for which the insurance company or the owners of the vessel are liable, the Buyers shall, have the right on the strength of the inspection certificate issued by the C.C.I.C and the relative documents to claim compensation from the Sellers.
3. 不可抗力:由于不可抗力的緣由發(fā)生在制造、裝載或運(yùn)輸?shù)倪^程中導(dǎo)致賣方延期交貨或不能交貨者,賣方可免除責(zé)任;在不可抗力發(fā)生后,賣方須立即電告買方及在14天內(nèi)以空郵方式向買方提供事故發(fā)生的證明文件;在上述情況下,賣方仍須負(fù)責(zé)采取措施盡快發(fā)貨。
Force Majeure: The Sellers shall not held responsible for any delay in shipment or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit. The sellers shall advise the Buyers forthwith of the occurrence mentioned above within fourteen days thereafter. The Sellers shall send by airmail to the Buyers for their acceptance certificate of the accident. Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods.
4. 不可抗力:本合同內(nèi)所述全部或部分貨物,如因不可抗力原因,以致不能履約或不得不延期交貨,賣方概不負(fù)責(zé)。
Force Majeure: The Seller shall not be held liable for failure delay delivery of the entire lot or a portion of the commodity under this Contract in consequence of and force majeure.
5. 仲裁:凡有關(guān)執(zhí)行合同所發(fā)生的一切爭議應(yīng)通過友好協(xié)商解決,如協(xié)商不能解決,則將分歧提交中國國際貿(mào)易促進(jìn)委員會(huì)按有關(guān)仲裁程序進(jìn)行仲裁,仲裁將是終局的,雙方均受其約束,仲裁費(fèi)用由敗訴方承擔(dān)。
Arbitration: All disputes in connection with the execution
of this Contract shall be settled through friendly negotiations. In case no settlement can be reached, the case may then be submitted for arbitration to the Arbitration Commission of the China Council for the Promotion of International Trade in accordance with the Provisional Rules of Promulgated by the said Arbitration Commission. The Arbitration Committee shall be final and binding upon both parties, and the arbitration fee shall be borne by the losing party.
6. 仲裁:在履行本合同中所發(fā)生的或者與合同有關(guān)的一切爭執(zhí),由雙方協(xié)商解決。如果協(xié)商后仍不能解決時(shí),得提請(qǐng)仲裁。仲裁在中國進(jìn)行,由中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)根據(jù)該仲裁委員會(huì)的仲裁程序規(guī)則進(jìn)行仲裁。仲裁裁決為最終決定,對(duì)買賣雙方都有約束力。除該仲裁委員會(huì)另有決定外,仲裁費(fèi)用由敗訴一方負(fù)擔(dān)。 Arbitration: Any and all disputes arising from or in connection with the performance of the Contract shall be settled through negotiation by both parties, failing which they shall be submitted for arbitration. The arbitration shall take place in China and shall be conducted by China International Economic and Trade Arbitration Commission in accordance with the rules of procedures of the said commission. The arbitration award shall be final and binding
upon both Buyer and Seller. Unless otherwise awarded by the said arbitration commission, the arbitration fees shall be borne by the losing party.
7. 賣方交貨的義務(wù)以在上述交貨日期前收到買方按第九條的規(guī)定開出的信用證或預(yù)付款為條件。如按合同條款運(yùn)輸工具由買方選訂,賣方將在上述日期將貨物備好。
However, the seller’s obligation to deliver is conditional upon receipt from the Buyer of a letter of credit or advance payment in accordance with Clause 9 of this Contract days before the time of delivery stipulated hereof. If a carrier is selected and booked by the Buyer itself in accordance with the terms of this Contract, the Seller will have the commodity ready for shipment by such time of delivery.
8. 付款條件:憑以賣方為受益人的、100%保兌的、不可撤銷的.、無追索權(quán)的、可以轉(zhuǎn)運(yùn)的及分批發(fā)運(yùn)的即期信用證,議付期至裝運(yùn)日期后第15天在中國到期。買方在信用證上請(qǐng)?zhí)钭⒈竞贤?hào)碼,貨物名稱要按本合同規(guī)定確定。
Payment: By 100% confirmed, irrevocable, without recourse L/C, in favor of the Seller, available by sight draft, allowing transshipment and partial shipments, valid for negotiation in China until the 15th day after the date of shipment. The Buyer is requested always to quote in the L/C

9. 保險(xiǎn):按照中國人民保險(xiǎn)公司的保險(xiǎn)條款,按發(fā)票金額的110%投保但不包括罷工、x亂和民變險(xiǎn),保至目的口岸為止。如買方要增加保額或保險(xiǎn)范圍,應(yīng)于裝運(yùn)前經(jīng)賣方同意,因此而增加的保險(xiǎn)費(fèi)由買方負(fù)責(zé)。
Insurance: For 110% of invoice value, up to the port of destination, as per the insurance clauses of the People’s Insurance Company of China, excluding SRCC Risks. If additional insurance amount or coverage in required, the Buyershall have the consent of the Seller before shipment, and the additional premium thus incurred shall be borne by the Buyer.
10.包裝:所有在本合同項(xiàng)下出售的貨物將以賣方認(rèn)為適合于第五條規(guī)定的運(yùn)輸方式的包裝材料包裝。如果對(duì)包裝有其他要求,買方應(yīng)征得賣方同意并承擔(dān)由此而增加的一切額外費(fèi)用。
Packing: All the commodities sold thereunder will be packed with packing materials deemed by the Seller suitable for the mode of transportation stipulated in Clause 5 hereof. 二、租賃期 Term of Tenancy:

四、保證金 Security Deposit:

Party B has the right to retain the keys to the premises until Party A returns the deposit.
3. 甲方因乙方違反本合同的規(guī)定而受的損失,可在保證金中扣抵雙方協(xié)議數(shù)目,不足部分乙方必須在接到甲方付款通知后十天內(nèi)補(bǔ)足。Party A may deduct a negotiated amount of security deposit towards Payments of any actual damages Party A shall have incurred or suffered as a result of Party B’s breach of this Agreement. In case the security deposit is not sufficient to cover such amounts, Party B must pay the deficient within 10 days of the receipt of a demand from Party A.
五、甲方的義務(wù)Obligations of Party A:
1. 甲方須按時(shí)將出租房屋以良好狀態(tài)交付乙方使用。

2. 租賃期內(nèi)甲方不得無故收回出租房屋。(除非本合同另有規(guī)定)

3. 在乙方遵守本合同的`條款及交付租金的前提下,如非中國法律特別規(guī)定,乙方有權(quán)于租賃期內(nèi)拒絕甲方或其他人騷擾而安靜享用出租房屋。
Provided Party B paying the rent and performing and observing Party B’s terms and conditions herein contain shall peaceably hold and enjoy the leased property throughout the term of this Agreement without any interruption by Party A or any other person save and except as required by the law of the People’s Republic of China.
4. 房屋基本設(shè)施和結(jié)構(gòu)(不包括乙方損壞的家私和器具)損壞時(shí),甲方有修繕的責(zé)任并承擔(dān)有關(guān)的費(fèi)用,并對(duì)其作定期修保。
Party A is responsible for repairing and maintaining the basic facilities (excluding furniture and appliances damaged by Party B), the structure of the leased property and for bearing all costs related thereto.
5. 甲方謹(jǐn)在此聲明及保證甲方為出租房屋的合法擁有人并有合法地位出租此房屋予乙方。就本合同及出租此房屋予以乙方之事,甲方已取得所有有關(guān)機(jī)構(gòu)的批準(zhǔn),包括政府批準(zhǔn)及抵押權(quán)人的同意(如適用)。甲方于本合同所做出的聲明及保證,如有錯(cuò)誤或違反者,甲方須就乙方因此而引致的任何損失、損害、支出及費(fèi)用做出全部補(bǔ)償。 Party A hereby represents and warrants that Party A is legal owner of the leased property and has the necessary legal capacity to lease the property to Party B. 六、乙方的責(zé)任 Obligations of Party B:
1. 乙方應(yīng)按合同的規(guī)定,按時(shí)支付租金,保證金及其它各項(xiàng)應(yīng)付費(fèi)用如水、電、煤、寬帶等費(fèi)用。 Party B shall promptly pay all rent, security deposit and other charges such as water, electricity, gas, ADSL, etc payable by it in accordance with the terms of this Agreement.
2. 乙方經(jīng)甲方事先書面同意,可在承租用房內(nèi)進(jìn)行裝修及添置設(shè)備。租賃期滿后恢復(fù)原狀或可正常出租狀態(tài)(正常損耗除外),并承擔(dān)其費(fèi)用,經(jīng)甲方驗(yàn)收認(rèn)可后歸還甲方。乙方在租賃結(jié)束交房時(shí)應(yīng)保持房屋清潔。
Party B may, with the prior written consent of Party A, renovate and install additional facilities in the leased property. Upon expiry of the tenancy, the leased property shall be returned to Patty A in its original conditions of normal lease conditions(fair wear and tear excepted), and all expenses arising there from shall be borne by Party B. Party B shall keep the premise clean once returning it to Party A.
3. 乙方應(yīng)愛護(hù)使用租賃的房屋,如因乙方的過失或過錯(cuò)致使房屋及設(shè)施受到損壞(正常損耗除外),乙方應(yīng)負(fù)賠償責(zé)任。 Party B shall treat the leased property with care. If, as a result of party B’s negligence or misconduct, the leased property and the related facilities suffer any damage (fair wear and tear exempt), Party B shall be responsible for compensating Party A for such damages.
4. 乙方應(yīng)按本合同的約定合法使用租賃房屋,不得擅自改變使用性質(zhì),不應(yīng)存放中華人民共和國法律下所禁止的危險(xiǎn)的物品,如因此發(fā)生損害,乙方應(yīng)承擔(dān)全部責(zé)任。Party B shall use the leased property legally as agreed in this Agreement and may not change such use on its own. Party B shall not store any dangerous items which are prohibited by the laws in the People’s Republic of China in the leased property and shall be fully responsible for any damages or losses as a result thereof.
5. 未經(jīng)甲方事先書面同意,乙方不得將承租的房屋轉(zhuǎn)租或分租給其他的第三方.
Without Party A’s prior written consent, Party B may not assign the tenancy or sublet the leased property to a third party.
七、違約處理Breach of Agreement:
1. 甲、乙任何一方在未征得對(duì)方諒解的情況下,不履行本合同規(guī)定條款,導(dǎo)致本合同中途中止,則視為該方違約,雙方同意違約金為人民幣元整(¥ ),若違約金不足彌補(bǔ)無過錯(cuò)方之損失,則違約方還需就不足部分支付賠償金。 During the lease term, any party who fails to fulfill any article of this contract without the other party’s (¥party in breach should pay additional compensation to the other party.
2.乙方有下列行為之一的,甲方有權(quán)終止本合同,收回出租房屋,并且保證金不予退還。

a) 將承租的房屋擅自轉(zhuǎn)租

Alters the structure of the leased property without authorization or uses the leased property rather than for the purpose stated herein
c) 無故拖欠租金超過十五天
Fails s to pay rent without any reason for more than 15 days after the due date
八、不可抗力 Force Majeure:
若由于不可抗拒的自然災(zāi)害(包括但不限于火災(zāi)、洪水、地震、施工、敵對(duì)、瘟疫等行為等)
獲其他非乙方過錯(cuò)所造成的對(duì)本物業(yè)的損毀致其無法居住或使用本物業(yè),乙方有權(quán)終止本組契約,甲方
必須全數(shù)退還乙方所有保證金和當(dāng)月所余租期之相應(yīng)租金。 If the leased property is destroyed, damaged and rendered uninhabitable of unusable due to force major
(include, but not limited to, fires, flood, earth quakes, accidents, strikes, wars, insurrections, public enemy,pestilence etc).or actions that are not the result of Party B’s fault, Party B shall have the right to terminate this Agreement and prorated balance of all rents and management fees paid, as well as security deposit, shall be returned to Party B without any set-offs or deductions.
九、適用法律Applicable Law:
本合同的成立,其有效性,解釋,簽署和解決與其有關(guān)的一切糾紛均應(yīng)受中國法律的管轄并依據(jù)中國法律解釋。The formation of this Agreement, its validity, interpretation, execution and settlement of any disputes arising hereunder shall be governed by and construed in accordance with the laws of the People’s Republic of China.
十、爭議的解決 Dispute Resolution:
凡因執(zhí)行合同所產(chǎn)生的或與本合同有關(guān)的一切爭議,雙方應(yīng)通過友好協(xié)商解決;協(xié)商不成,應(yīng)提交上海仲裁委員會(huì),按其仲裁規(guī)則和中華人民共和國仲裁法在上海進(jìn)行仲裁, 仲裁裁決是終局的,對(duì)雙方都有約束力。In the case of disputes arising over this Agreement or any matters related hereto, the parties shall negotiate in good faith to arbitration by Shanghai Arbitration Commission in Shanghai accordance with its arbitration rules .The decision of the arbitrage body is final and shall be binding on the parties hereto.
十一、其他 Others:
1. 本合同附件是本合同不可分割的組成部分,具有同等法律效力。
The attachment to this Agreement is an inseparable part of this Agreement and is equally enforceable.
2. 本合同如有未盡事宜,由甲、乙雙方洽談解決。
If this Agreement is unclear with respect to certain matters, the two parties shall discuss to resolve such ambiguities.
3. 本合同由中文和英文寫成,以中文版本為準(zhǔn),英文僅供參考。
This Agreement is written both in the Chinese and English languages. Only Chinese versions shall be authentic, English version is for reference.
4. 本合同自簽字之日起生效。未經(jīng)雙方同意,不得任意終止或修改(本合同另有約定除外)本合同一式

4. 雙方的職責(zé): Duties of two parties:

Party B shall help and facilitate Party A sign the Purchasing Agreement with the suppliers or agents, also should provide services in many aspects, such as sampling, inspection, delivery and other matters.
5. 貨款的支付方式:Payment of goods
甲方購買的產(chǎn)品涉及專利產(chǎn)權(quán)或產(chǎn)品生產(chǎn)者指定代理的情況,甲方與產(chǎn)品生產(chǎn)者或產(chǎn)品生產(chǎn)者代理商之間直接簽署采購協(xié)議,貨款支付方式由協(xié)議雙方協(xié)商達(dá)成一致。

6. 傭金的計(jì)算、給付方式、給付時(shí)間: Commission calculation, payment methods, payment time 甲方同意按照采購產(chǎn)品總金額的(1-5)%支付傭金給乙方,支付日期為付款給賣方的同一天,傭金匯入乙方指定銀行賬戶。如甲方以預(yù)付款或分期付款的形式向賣方支付貨款,在甲方向賣方支付第一筆貨款的同時(shí)向乙方全額支付采購產(chǎn)品總金額的'傭金。
For the Purchasing Agent's services, the Party A shall pay the Party B the following commission percentage:(1-5)% of Part B’s purchasing aggregate amount of the invoice value,simultaneously within the same banking day as the party A makes payment to the Seller. 7. 違約責(zé)任:

Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not
be predicted, controlled, avoided or overcome by the relative party. However, the party
affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.
10. 仲裁: Arbitration
因履行本協(xié)議所發(fā)生的一切爭議應(yīng)通過友好協(xié)商解決。如協(xié)商不能解決爭議,則應(yīng)將爭議提交中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會(huì)(北京),依據(jù)其仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是終局的,對(duì)雙方都有約束力,仲裁費(fèi)用,除另有規(guī)定外,由敗訴一方負(fù)擔(dān)。

六、甲方義務(wù) / Obligations of Party A
1.甲方須按時(shí)將房屋及附屬設(shè)施(詳見附件)交付乙方使用。

2. 房屋設(shè)施如因質(zhì)量原因、自然損耗、不可抗力或意外事件而受到損壞,甲方有修繕并承擔(dān)相關(guān)費(fèi)用的責(zé)任。如甲方未在兩周內(nèi)修復(fù)該損壞物,以致乙方無法正常使用房屋設(shè)施,乙方有權(quán)終止該合約,并要求退還押金。
In case the premise and attached facilities are damaged by quality problems, natural damages or
accidents, Party A will be responsible to repair and pay the relevant expenses. If Party A can’t repair the damaged facilities in two weeks so that Party B can’t use the facilities normally, Party B has the right to terminate the contract and Party A must return the deposit.

七、乙方義務(wù)/ Obligations of Party B

2.乙方經(jīng)甲方同意,可在房屋內(nèi)添置設(shè)備。租賃期滿后,乙方將添置的設(shè)備搬走,并保證不影響房屋的完好及正常使用。
Party B may add new facilities with Party A’s approval. When this contract expires, Party B may take away the added facilities without changing the good conditions of the premises for normal use.
3.未經(jīng)甲方同意,乙方不得將承租的房屋轉(zhuǎn)租或分租,并愛護(hù)使用該房屋如因乙方過失或過錯(cuò)致使房屋及設(shè)施受損,乙方應(yīng)承擔(dān)賠償責(zé)任。
Party B will not transfer the lease of the premises or sublet it without Party A’s approval and should take good care of the premises. Otherwise, Party B will be responsible to compensate any damages of the premises and attached facilities caused by its fault and negligence.
4. 乙方應(yīng)按本合同規(guī)定合法使用該房屋,不得擅自改變使用性質(zhì)。乙方不得在該房屋內(nèi)存放危險(xiǎn)物品。否則,如該房屋及附屬設(shè)施因此受損,乙方應(yīng)承擔(dān)全部責(zé)任。

remises and storing hazardous materials in it. Otherwise, Party B will be responsible for the damages caused by it.

八、合同終止及解除的規(guī)定/ Termination and dissolution of the contract
1. 乙方在租賃期滿后如需續(xù)租,應(yīng)提前一個(gè)月通知甲方,由雙方另行協(xié)商續(xù)租事宜。在同等條件下乙方享有優(yōu)先續(xù)租權(quán)。
Within one month before the contract expires, Party B will notify Party A if it intends to extend the lease. In this situation, two parties will discuss matters over the extension. Under the same terms Party B has the priority to lease the premises.
2. 租賃期滿后,乙方應(yīng)將房屋交還甲方;任何滯留物,如未取得甲方諒解,均視為放棄,任憑甲方處置,乙方?jīng)Q無異議。
When the lease term expires, Party B will return the premises and attached facilities to Party A. Any belongings left in it without Party A’s previous understanding will be deemed to be abandoned by Party
B. In this situation, Party A has the right to dispose of it and Party A will raise no objection.
3. 本合同一經(jīng)雙方簽字后立即生效;未經(jīng)雙方同意,不得任意終止,如有未盡事宜,甲、乙雙方可另行協(xié)商。

九、違約及處理/ Breach of the contract
1. 甲、乙雙方任何一方在未征得對(duì)方諒解的情況下,不履行本合同規(guī)定條款,導(dǎo)致本合同中途終止,則視為該方違約,雙方同意違約金為 元整,若違約金不足彌補(bǔ)無過錯(cuò)方之損失,則違約方還需就不足部分支付賠償金。

Party B agree that it shall pay Earnest Money as CNY ________ to Party C at this contract date and entrust Party C to negotiate with Party A. if Party A accept and sign this contract, Party B may authorize Party C to transfer such Earnest Money to Party A as deposit; provided, however, Party B may require the repayment of Earnest Money free of interests by Party C if Party A fail to sign this contract prior to ___________. In such event, it shall constitute that continue entrustment has been granted to Party C if Party B fail to take such Earnest Money in due time. Party B shall pay CNY __________ to Party A directly as deposit at this contract date. Party A agree that Party B may pay CNY __________ to it as deposit within ______ days from this contract date. 三、 【買賣交易細(xì)則】
3. SALES RULES
1) 轉(zhuǎn)讓總價(jià)款:人民幣大寫_______________ _________元(其中含車位轉(zhuǎn)讓款人民幣大寫______________________ 元)。
2) 雙方同意按以下方式支付款項(xiàng):
第一筆房款: 甲、乙雙方同意自《上海市房地產(chǎn)買賣合同》示范文本簽訂后_____日內(nèi),乙方向甲方支付的上述款項(xiàng) 人民幣_(tái)________元作為乙方支付的首筆房款。
第二筆房款:乙方于______年_____月_____日前,支付甲方房款人民幣_(tái)__________________元。
第三筆房款:可按以下情況選擇支付方式: □ 乙方通過銀行按揭貸款的方式向甲方支付第三筆房款人民幣_(tái)_________________元,該款項(xiàng)由 銀行在取得抵押人為乙方的他項(xiàng)權(quán)利證明后直接劃入甲方帳戶。 □ 甲乙雙方同意共同至房地產(chǎn)交易中心辦理該房地產(chǎn)過戶手續(xù),并取得房地產(chǎn)登記處的`核發(fā)的收件收據(jù)后_____日內(nèi),乙方向甲方支付房款人民幣_(tái)_______________元。
第四筆房款:□在辦妥房屋交付手續(xù)當(dāng)日,乙方向甲方支付房款人民幣_(tái)__________________元。 □甲乙雙方同意,在簽署買賣合同時(shí)將交房款人民幣_(tái)___________元交丙方監(jiān)管至房屋交付手續(xù)辦妥之日,丙方憑《房屋交接書》向甲方支付上述款項(xiàng)。
1) The total transfer price of this real estate is CNY ________ inclusive of transfer price of carport as CNY _______.
2) Such transfer price shall be made in installments as follows:
The first installment shall be made to Party A by Party B as CNY ________ (inclusive of deposit) within ______ days from commencement date of Sales Contract for the Real Estate Located in Shanghai City (“Sales Contract”).
The second installment as CNY ______________shall be made to Party A by Party B prior to ___________. The third installment may be made as follows:
□ CNY _________ as third installment shall be made to Party A by Party B through bank mortgage loans, which shall be directly paid to Party A’s bank account upon the certificate evidencing Party B as mortgagor has been presented to the lending bank, provided, □ Party A and Party B agree to fulfill the transfer formalities for this real estate before Real Estate Trading Center and Party B shall pay Party B CNY _____________ within _____days upon the certificate issued by real estate register has been received.The fourth installment as CNY _____________ shall be paid. □ To Party A by Party B at the date on which the transfer formalities of this real estate has been fulfilled; or □ to Party A by Party C upon the receipt of Deed of Transfer if, as agreed by Party A and Party B, CNY _______ equal to such fourth installment has been delivered to Party C for escrow until the full fulfillment of transfer formalities.
3) 產(chǎn)權(quán)過戶:待該房地產(chǎn)之抵押登記(若有)已經(jīng)注銷且乙方申請(qǐng)的按揭貸款(若有)經(jīng)銀行審核通過,具備過戶條件具備后,最晚不遲于______年_____月_____日,共同至該房地產(chǎn)所在區(qū)交易中心辦理房地產(chǎn)過戶手續(xù)。
3)Transfer. Within _____ days upon the revocation of mortgage registration for this real estate (if any) and the loans acquired by Party B therefore (if any) satisfying the applicable requirements after the review of related bank (in no event late than _______), Party A and Party
B shall fulfill the transfer formalities before the trading center of that district where this real estate is located.
4) 房屋交付:甲方于收到乙方全部轉(zhuǎn)讓款項(xiàng)當(dāng)日,將該房地產(chǎn)交付乙方,雙方應(yīng)簽署《房屋交接書》。交付前的物業(yè)管理費(fèi)及公用事業(yè)費(fèi)由甲方承擔(dān),交付后的物業(yè)管理費(fèi)及公用事業(yè)費(fèi)由乙方承擔(dān)。固定裝修、附屬設(shè)施設(shè)備以及經(jīng)甲乙雙方確認(rèn)的家電、家具等價(jià)格已經(jīng)包含在該房地產(chǎn)轉(zhuǎn)讓總價(jià)款內(nèi),甲方須保證該房屋內(nèi)附屬設(shè)施、設(shè)備均能正常使用及室內(nèi)裝飾與簽訂買賣合同之日的狀況相符。
4)Delivery. At the date on which all transfer prices,party A shall deliver this real estate to Party
B and the Certificate of Transfer and Handover shall be concluded by the Parties therefore. Property Management Fees and Utilities Expenses arising out of or in connection with this real estate shall be borne by Party A prior to such delivery, or shall be borne by Party B upon such delivery.
Charges or expenses related to the fixtures and ancillary equipments & facilities of this real estate, as well as the prices of home appliances and furniture agreed by the Parties, have been included in the transfer price and Party A guarantee that all such ancillary equipments & facilities may work properly, all interior decorations thereof satisfy the conditions provided herein .
5)相關(guān)費(fèi)用:Miscellaneous Charge.
[交易稅費(fèi)]:雙方同意,交易中所涉及的上述買賣雙方的稅費(fèi)由 □各自承擔(dān)并支付;□由甲方承擔(dān)并支付;□由乙方承擔(dān)并支付。
[公證費(fèi)]:若交易涉及買賣合同公證,費(fèi)用由□雙方分擔(dān)并支付;□由甲方承擔(dān)并支付;□由乙方承擔(dān)并支付。
[中介報(bào)酬]:對(duì)于中介方提供中介服務(wù)所產(chǎn)生的報(bào)酬事宜,詳見附件“中介服務(wù)確認(rèn)書”。 Trade Tax. The Parties agree that any and all taxes and charges arising out of transaction hereunder shall be borne and paid by □ Party A; or □ Party B.
Notary Fees. Any notary fees arising out of or in connection with transaction hereunder shall be borne and paid by □ Party A; □ Party B; or □ Party A and Party B. Brokerage
fees. Brokerage feess paid to broker for any brokerage service provided shall be detailed in attached Schedule “Acknowledgement of Brokerage fees”.
四、【法律責(zé)任的選擇適用】
4. APPLICATION OF LEGAL LIABILITIES
甲方保證該房地產(chǎn)產(chǎn)權(quán)清晰、權(quán)屬明確,無異議登記、單方預(yù)告登記,無司法、行政查封等限制性交易情形存在;若因本條所述情況導(dǎo)致本協(xié)議效力瑕疵,甲方應(yīng)返還乙方所有已付房款并賠償乙方實(shí)際損失。
Party a guarantees that it has full and clear ownership to this real estate, which is free of any dispute registered, unilateral advanced registration, judicial or administrative attachment or other events restricting trades. If any defect affecting the validity of this Contract is occurred due to any misrepresentation hereunder, Party A shall refund all transfer prices paid by Party B, and indemnify any and all losses and damages suffered by Party B there-from.
五、【爭議解決】
6. DISPUTE SETTLEMENT
各方在本協(xié)議履行過程中發(fā)生爭議的,應(yīng)友好協(xié)商;協(xié)商不成的,應(yīng)向該房地產(chǎn)所在地人民法院起訴。
Any dispute arising out of or in connection with the performance hereof shall be settled by amiable negotiation, if fails, either Party may bring a lawsuit before the People’s Court with jurisdiction where this real estate is located.
六、【合同效力】
6. VALIDITY
本協(xié)議自甲、乙雙方簽署起對(duì)甲、乙生效,丙方簽署后對(duì)丙方生效,一式三份,甲、乙、丙三方各執(zhí)一份。
This Contract shall have binding force to Party A and Party B upon signatures of such two Parties are made hereon, and shall have binding force to Party C if signature of Party C is also made hereon. This Contract shall be executed in triplicate and each Party shall have one copy.
